Training and Placement Cell, Symbiosis Law School, NOIDA in association with J Sagar Associates, Mumbai has organised One Day Workshop on Transaction Sequence – Equity and Debt on August 18, 2018 from 09:00 am – 04:00 pm.
Background: 2017-18 has witnessed increased activity of Mergers and Acquisitions in India attributable to various reforms in law and policy including the relaxation of Foreign Direct Investment (FDI) by Government of India. Insolvency and Bankruptcy, 2016 brought a distinguishable change in regulatory scenario in India. The Code provides for time-bound settlement of matters regarding insolvency and bankruptcy of corporates and natural persons. The Insolvency and Bankruptcy Code, 2016 creates conducive environment for healthy companies to look for inorganic growth opportunities in entities undergoing insolvency resolution.
The Workshop on Transaction Sequence- Equity and Debt will give students an overview of equity and debt investment transaction process in India. Students will get acquainted with important concepts such as transaction structuring, term sheets, legal due diligence, regulatory considerations and transaction documentation. Overall the workshop will equip students with practical knowledge required for performing the role of a transaction lawyer in India. The speakers will also share their career experience as Transaction lawyers with learners and clarify any query which students may have for pursuing a career in corporate law.

Mr. Manav Raheja, Partner, J. Sagar Associates, Mumbai
Mr. Manav has over 13 years experience in Mergers & Acquisitions, Private Equity investment transactions and Real Estate matters. He represents promoters, emerging companies, financial and strategic investors in an array of legal matters in the corporate law sphere. Mr. Manav also advises entrepreneurs and startup companies by hand holding them through the legal and regulatory environment of doing business in India.
Mr. Manav also works on Real Estate transactions, including Conveyancing and leasing matters, property management and development agreements. He has been part of some of the largest investments in the Real Estate sector in India in the last few years. Prior to attending law school, Mr. Manav gained valuable experience in Capital Markets at the Mumbai offices of Standard Chartered Mutual Fund (now IDFC Mutual Fund) and Merrill Lynch. Mr. Manav is a postgraduate in Law from Boston University School of Law (Banking and Financial Laws). He is Alumnus of Government Law College (2005), Mumbai University.
Ms. Anjana Potti, Partner, J. Sagar Associates, Mumbai
Ms. Anjana specialises in banking and finance with expertise in debt restructuring, structured and project funding (secured, limited recourse and syndicated), financing of inward and outbound mergers and acquisitions, real estate financing, and general banking products. Ms. Anjana has advised Indian and multinational banks and financial institutions extensively on corporate and debt restructuring and investments into distressed assets in the energy, manufacturing, roads and port sectors.
Ms. Anjana also advises on asset and mortgage backed securitisation and has been acknowledged for advice on risk participations and other bespoke structuring in the securitisation market. She has also advised private equity funds, corporates, and sovereign funds on share and asset acquisitions across various sectors and jurisdictions including advice on funding structures for such acquisitions and related documentation. Ms. Anjana has been practicing law since 2005. Before joining JSA, she was an Of Counsel with Cyril Amarchand Mangaldas for over two and a half years after being an in house counsel at ICICI Bank Limited for almost nine years. Ms. Anjana is Alumnus (2005) of National Law School of India University.
Mr. Ronak Shah, Associate, J. Sagar Associates, Mumbai
Mr. Ronak practices in the areas of General Corporate Commercial Mergers & Acquisitions and Real Estate. Mr. Ronak also has a keen interest in emerging businesses and has advised and provided legal assistance to entrepreneurs and start-up companies and early stage investors. Before joining JSA, Mr. Ronak practiced as a Chartered Accountant independently and with Dalal Doctor Associates where he gathered invaluable experience & expertise in the areas of Accounting & Audit, Taxation and Finance. Mr. Parth Jain, Associate, J. Sagar Associates, Mumbai
Mr. Parth Jain is a law graduate from Mumbai University and a Company Secretary, with an experience of over 7 years in corporate compliance, banking and commercial laws. Mr. Parth has been a key resource in major transaction involving corporate restructuring activities, joint ventures, mergers & acquisitions, private equity investments, fund raising and regulatory compliances. Mr. Parth has a very good experience in Due Diligence for the purpose of various big tickets Merger and Acquisition, Debt Restructuring and Equity Funding.
